1. Acceptance of Terms

By creating an account or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Service.

2. Service Description

VidPublish.com provides AI-powered video processing services including but not limited to:

• Video transcription and caption generation
• Audio extraction and conversion
• AI-generated chapters and timestamps
• SEO-optimized titles and descriptions
• Podcast show notes generation
• File storage and management

3. Account Registration

• You must be at least 18 years old to use our Service
• You must provide accurate and complete registration information
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized account access
• You are responsible for all activities under your account

4. Subscription Plans and Payments

4.1 Subscription Tiers

We offer multiple subscription tiers including:

• Starter Plan
• Pro Plan
• Agency Plan
• Enterprise Plan

4.2 Credit System

• Additional credits can be purchased separately
• Credits do not expire with an active subscription
• Unused credits are forfeited upon subscription cancellation
• Credit values and pricing are subject to change with notice

4.3 Billing

• Subscriptions are billed monthly in advance
• All payments are processed securely through Stripe
• Prices are in USD and subject to applicable taxes
• Failed payments may result in service suspension

5. Acceptable Use Policy

You agree not to use our Service to:

• Upload or process illegal, harmful, or offensive content
• Violate any copyright, trademark, or intellectual property rights
• Process content containing malware or harmful code
• Attempt to bypass usage limits or security measures
• Resell or redistribute our Service without authorization
• Engage in any activity that disrupts or harms our Service
• Process content that violates privacy rights of others
• Use the Service for any unlawful or fraudulent purpose

6. Content Ownership and License

6.1 Your Content

• You retain all ownership rights to content you upload
• You grant us a limited license to process and store your content
• You represent that you have all necessary rights to upload content
• You are solely responsible for your content and its legality

6.2 Our Service

• We retain all rights to our Service, software, and technology
• AI-generated content is provided under a license for your use
• You may not reverse engineer or copy our Service

7. Data Retention and Deletion

• Processed files are retained for 30 days by default
• You may delete your files at any time through your dashboard
• Account deletion will permanently remove all associated data
• We may retain anonymized usage data for analytics

8. Service Availability and Support

• We strive for 99.9% uptime but do not guarantee uninterrupted service
• Scheduled maintenance will be communicated in advance when possible
• Support is provided via email during business hours
• Priority support is available for Enterprise customers

9. Disclaimers and Limitations of Liability

9.1 Service Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 AI-Generated Content

AI-generated content may contain errors or inaccuracies. You are responsible for reviewing and verifying all generated content before use. We do not guarantee the accuracy, completeness, or suitability of AI-generated content for any specific purpose.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JD KEY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless JD Key LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Termination

• You may cancel your subscription at any time through your account settings
• We may suspend or terminate your account for Terms violations
• Upon termination, your right to use the Service ceases immediately
• Provisions that should survive termination will remain in effect

12. Refund Policy

• Monthly subscriptions: No refunds for partial months
• Credit packs: Non-refundable once purchased
• Service issues: Pro-rated refunds may be provided at our discretion
• Refund requests must be submitted within 30 days

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or through the Service. Continued use after changes constitutes acceptance of the modified Terms.

14. Governing Law and Disputes

• These Terms are governed by the laws of Texas, United States
• Disputes shall be resolved through binding arbitration in Texas
• You waive any right to a jury trial or class action
• Small claims court actions are exempt from arbitration

15. Miscellaneous

15.1 Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and JD Key LLC regarding the Service.

15.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.
